Terms of Service
These Terms of Service apply to all demolition and related services provided by Apex Demolition (the “Contractor”). By accepting a quotation electronically or in writing, the customer (the “Client”) agrees to the following terms and conditions.
General Terms and Conditions
Scope of Work
The services provided by Apex Demolition are strictly limited to the scope of work outlined in the accepted quotation.
Any additional work, changes to the scope, or requirements not expressly included shall be subject to a written change order, including any associated cost and schedule adjustments, and must be approved by the Client prior to execution.
Unforeseen Conditions
If unforeseen conditions are encountered during the execution of the work — including but not limited to concealed structural conditions, undocumented utilities, or hazardous materials such as asbestos, mold, lead, or other regulated substances — the following shall apply:
- Work will be immediately suspended in the affected area.
- The Client will be notified in writing, with details of the condition identified.
- Any required testing, abatement, remediation, disposal, safety measures, or delays resulting from such conditions will be quoted separately.
- Work will resume only after the Client’s written authorization.
Hazardous Material Handling
Apex Demolition is qualified and equipped to perform hazardous material services, including asbestos abatement, when such work is expressly included in the scope of work or approved through a written change order.
The Client acknowledges that:
Hazardous materials are not always visible or reasonably identifiable at the time of quotation.
The identification, testing, and confirmation of hazardous materials prior to commencement are the responsibility of the Client unless otherwise specified in writing.
If hazardous materials are discovered that were not disclosed by the Client or not reasonably identifiable during the initial site assessment, the quotation, pricing, and schedule may be subject to revision.
All hazardous material work performed by Apex Demolition shall comply with applicable municipal, provincial, and federal regulations. Associated costs shall be billed to the Client unless otherwise agreed in writing.
Damage and Insurance
The Client must maintain valid and adequate insurance coverage prior to the commencement of work, including coverage for risks associated with demolition such as fire, water damage, structural failure, or service interruptions.
Apex Demolition will take reasonable precautions to minimize damage; however, the Contractor shall not be liable for damages resulting from:
- Pre-existing structural weaknesses or deficiencies
- Concealed or undisclosed conditions
- Aging or deteriorated infrastructure
- Interruptions to utilities or services beyond the Contractor’s control
The Client assumes full responsibility for ensuring that the property is adequately insured for all risks related to demolition activities.
Permits and Compliance
Apex Demolition will obtain the permits expressly included in the scope of work.
Delays resulting from permit approvals, incomplete or delayed information provided by the Client, restricted site access, or third-party authorities may result in additional charges.
All work shall be performed in compliance with applicable municipal, provincial, and federal regulations.
Access and Site Conditions
The Client is responsible for providing clear, safe, and unrestricted access to the worksite, including areas required for equipment, containers, and personnel.
The Client must remove all furniture, fixtures, equipment, and personal belongings prior to the start of work. Apex Demolition shall not be responsible for damage to items left on-site.
Any delays or additional costs resulting from restricted access, unsafe conditions, or site obstructions shall be charged to the Client.
Worksite Safety
Apex Demolition shall implement all required safety measures and comply with applicable occupational health and safety regulations.
The Client is responsible for ensuring that the site is free of hazards unrelated to the demolition work and complies with all legal safety requirements prior to commencement.
Waste Disposal
All demolition debris will be disposed of in accordance with applicable local regulations.
Specialized disposal, including hazardous or regulated materials, is not included unless expressly stated and will be billed separately.
Force Measure
Apex Demolition shall not be liable for delays or damages caused by events beyond its reasonable control, including but not limited to natural disasters, extreme weather conditions, labor disputes, material shortages, or government restrictions. Schedule adjustments resulting from such events will be communicated to the Client.
Client Responsibilities
The Client shall provide all relevant documentation prior to commencement, including as-built drawings, utility layouts, environmental reports, and inspection records.
Failure to disclose critical information may result in delays, additional costs, or damages, for which the Client shall be fully responsible.
Payment Terms
Quotations are valid for thirty (30) days from the date of issue.
A deposit of [e.g., 50%] is required upon acceptance of the quotation.
The remaining balance is due upon completion of the work, unless otherwise agreed in writing.
Late payments shall accrue interest at [e.g., 2% per month].
Additional costs resulting from change orders or unforeseen conditions shall be invoiced separately and are payable upon receipt.
Dispute Resolution
In the event of a dispute, the parties agree to attempt resolution through mediation prior to initiating legal proceedings.
This agreement shall be governed by the laws of the Province of Québec, with jurisdiction in Montréal.
Termination Clause
Either party may terminate this agreement by written notice.
The Client shall be responsible for payment of all work completed, materials supplied, and costs incurred up to the termination date.
Deposits are non-refundable in the event of client-initiated termination.
Change Orders
Any work beyond the agreed scope must be documented through a written change order detailing the additional work, costs, and schedule impacts. No additional work shall proceed without written approval from the Client.
Limitation of Liability
Apex Demolition shall not be liable for damage to concealed services, undocumented utilities, or structural elements not visible or disclosed prior to commencement.
The Client shall be responsible for all costs associated with repairing damages resulting from pre-existing or undisclosed conditions.
